Free Trial and Freemium Supplemental Terms

These Free Trial and Freemium Supplemental Terms set out the additional terms that apply to the free trial and free tier of aicial’s planned self-serve software service, once that service becomes available. They form part of, and apply together with, our Terms of Service.
1. About these Supplemental Terms
These Free Trial and Freemium Supplemental Terms (“Supplemental Terms”) set out the additional terms that apply when you take a free trial of aicial’s planned self-serve software service, or use its free tier (also called the “freemium” tier). That service is not yet available. These Supplemental Terms govern the trial and the free tier once the self-serve software service becomes available, and take effect for you from the date you start a trial or create a free-tier account.
Aperim Pty Ltd (ABN 46150699737; ACN 150699737) is incorporated in New South Wales, Australia and operates the aicial brand. In these Supplemental Terms, “aicial” refers to that brand; “we”, “us” and “our” refer to Aperim Pty Ltd; and “you” has the meaning given in the Terms of Service.
These Supplemental Terms are among the additional terms referred to in section 4 of the Terms of Service. They form part of, and apply together with, the Terms of Service, which continues to govern everything about the self-serve software service that these Supplemental Terms do not specifically address. Capitalised terms not defined in these Supplemental Terms have the meaning given in the Terms of Service. If a specific term of these Supplemental Terms conflicts with the Terms of Service on the free trial or free tier, these Supplemental Terms apply for that matter.
2. The free trial
When the self-serve software service becomes available, new accounts are entitled to a free trial of a paid tier. The trial lasts 14 days from the date you start it. You do not need to provide credit card or other payment details to start a trial.
During your trial, you have full or near-full access to the paid tier’s features. We decide which features are included in a trial and may change them from time to time. If a feature is excluded from your trial, we will tell you before your trial starts; if we withdraw a feature during an active trial, we will instead give you reasonable notice before the change takes effect.
You are entitled to one free trial per organisation, including all accounts of that organisation. We may decline to offer you a further trial, or end an active trial early, where we reasonably believe it is being used to obtain repeated free access — for example, by creating multiple accounts for the same organisation or person, or by reusing an email domain or device already associated with a previous trial. Where we end a trial early under this paragraph, we will tell you why, and your account either moves to the free tier or is suspended or closed, depending on the circumstances; either way, you are not charged, because we do not take payment details to start a trial.
3. When your trial ends
Unless you subscribe to a paid tier before your trial ends, your account automatically moves to the free tier described in section 4 when the 14-day trial period finishes. This happens automatically — you do not need to cancel anything, and you are not charged.
Because we do not take payment details to start a trial, letting your trial run out without taking any action never results in a charge: the only thing that happens is that your paid-tier access ends and your account moves to the free tier. Your account, and the data in it, are not deleted or suspended when this happens, subject to the free tier’s limits described in section 4.
If you want to keep paid-tier access after your trial, subscribe to a paid tier before the trial ends, as described in section 6.
4. The free tier
The free tier is available whether you reach it because your trial ended without you subscribing to a paid tier, as described in section 3, or because you created a free-tier account directly. No fee applies to the free tier.
We may apply reasonable limits to the free tier, including limits on available features, usage volume, and how long we retain your data. Once the self-serve software service is available, the then-current free-tier limits will be set out in the product information we publish for it. We may change those limits from time to time; where a change would materially reduce the free tier, we will give you reasonable notice of it before the change takes effect.
If your usage or data exceeds the free tier’s limits when your account moves to it — for example, because you used more storage during your trial than the free tier allows — we will not remove anything above the limit immediately. We will tell you and give you a reasonable period to export the data or upgrade to a paid tier first, consistent with our data-export commitment in section 6 of the Terms of Service.
5. Support and warranties on the trial and the free tier
Section 13 (warranties and disclaimers) of the Terms of Service applies to your trial and to the free tier in the same way it applies to our other services, and these Supplemental Terms do not add to or enhance it. In particular, except for any consumer guarantee under the Australian Consumer Law that cannot lawfully be excluded, we provide your trial and the free tier on an “as is” and “as available” basis, with no warranty as to results or the availability of a particular feature.
Our Service Level Agreement sets out our uptime commitment and support response targets. Those apply only to a paid subscription and do not apply to your trial or the free tier, consistent with the Service Level Agreement’s own terms. Your trial and the free tier are provided on the “as is” and “as available” basis described above, with no uptime commitment, service credit, or support response target.
We may prioritise new features for paid tiers over your trial or the free tier.
6. Upgrading to a paid tier
You can upgrade to a paid tier at any time, whether during your trial, from the free tier, or later. Billing starts from the date you upgrade. We do not charge you for time spent on a trial or the free tier before you upgraded, including if you upgrade partway through a billing period.
The Terms of Service, together with any additional terms we publish for that paid tier at the time, govern billing once you subscribe to a paid tier — see section 7.
7. Refunds and cancellation
Our Refund & Cancellation Policy does not apply to your trial or to the free tier, because no fee is charged for either of them. You can stop using your trial or the free tier, or close your account, at any time without needing to cancel a subscription or request a refund.
Once you subscribe to a paid tier, fees you pay for it are governed by the Terms of Service and any additional terms we publish for that paid tier at the time, consistent with section 4 of the Terms of Service.
Nothing in this section limits any right you have under the Australian Consumer Law that cannot lawfully be excluded — see section 5.
8. Changes to these Supplemental Terms
We may update these Supplemental Terms to reflect changes to the self-serve software service, our practices or the law. The version, effective date and last-reviewed date shown at the top identify the current Supplemental Terms. We publish updated Supplemental Terms on our website and, where a change is material, provide additional notice through the service or by email before it takes effect.
An update does not shorten a free trial you have already started, or apply retrospectively to charge you for trial or free-tier use that occurred before the update took effect.
